A company is incorporated in one country but then how do multinational corportions work in several countries? Moreover, is there a solution out such as a slight name change of the company but same operations and governance structure?

There are several ways that this can be accomplished. If you will have operations or offices in both countries you will most likely have to establish a legal entity in each country. For example this could be "Acme Ltd. UK" and "Acme Ltd. Italy". They each have their own Operating Agreements, shares of ownership and local licenses. The ownership and management structure can usually be identical or nearly identical. This will depend heavily on the laws and regulations in the countries you are locating in.
To take it a bit further you could have a holding company that owns these local companies and pulls them all under it's umbrella.

I'm not sure but it seems that COKE and PEPSI along with many other corporation are. They have processing plants in many countries.
