It's not spyware, worse, it's a virus that can disable your firewall and security software, it also enable a backdoor access to your computer. Get rid of it as soon as you can. AVG Free, http://free.grisoft.com/ might clean it for you.

Download, install and run AVG Free preferably in safe mode. To get into safe mode press F8 as you are booting up and select safe mode, now run AVG and it SHOULD be able to clean your system. If not then you may have to consider reformatting and reinstalling Windows.

The possible thing to try is to "restore your system' to a previous restore point.
This link will guide you through that process http://support.microsoft.com/kb/306084/

If that doesn't work then find the location of the file.
Then reboot in safe mode and try to delete it.

If it's isass.exe (first letter "i") then it's a virus. If it's lsass.exe (first letter "L") then it's the Windows Security subsystem.
