What I know is Sempron was compared to Intel's Celeron Processor but if I will compare it to AthlonXP with much higher memory capacity, will performance be the same or better than Athlon Processor? Note that only Windows XP Prof SP2 with MS Office application will be used on this PC.

If you are not going to upgrade the ram go with the Sempron.

The Athlon XP is not a 64-bit processor and neither is the Sempron unless it states Sempron 64. That being said and my personal opinion is that performance is now limited on both the Athlon XP and the Sempron. However, the lesser of the two evils is probably the Athlon XP with 512MB of memory, yeah I know you didn't list that as an option. If you are looking for the combination that will give you the best performance then it is probably the Sempron with 512MB of memory.

AthlonXP is better then Sempron. And RAM is nothing. You can buy another stick of RAM from newegg or any other computer store.

athlon xp with 256MB. athlon's onboard cache is more than a sempron; therefore, it is a faster processor. you wont need as much memory to cache items to.
