It depends on what type of modem you have. If it's a dial-up modem, you can interconnect the two computers with ethernet, then set up the network to use computer #1s modem to connect computer #2 to the internet.

If it's a broadband or DSL modem, you really should have a hardware firewall, and most of them provide multiple (like 4) computer connections.
