I would suggest Mix at Mandalay Bay. The view and menu is outstanding. The staff of any Vegas resturant are always eager to help with a proposal. http://www.mandalaybay.com/dining/restaurants_mix.aspx

Bellagio can reserve a private terrace for you and have the fountains go off when you pop the question, call them to set it up at 702-693-7700.

Here's a little sample from the brochure (price is at the bottom)

THE PROPOSAL
TERRAZZA DI SOGNO

Imagine yourself standing on rose petals proposing marriage to your beloved one.
Picture yourself doing so on an Italian balcony overlooking Bellagio Lago Di Como surrounded by a Tuscan landscape, and if this was not enough, consider the spectacular vision of the Bellagio Fountains shooting to the sky at the moment of consent from your beloved.
This incredibly romantic experience may be reserved with the Wedding Chapels at Bellagio
The “Proposal” package will include a one half hour of time at the Terrazza Di Sogno
Two Large Bags of White Rose Petals
A Single Long Stemmed Red Rose for Presentation
Two Exquisite European Mouth Blown Hand Designed Crystal Toasting Flutes
One Bottle of Dampierre Champagne for your Romantic Toast following the Proposal
Bellagio’s Jean Philippe Maury Signature Ballotin of Hand Made Gourmet Chocolates
Dinner for Two at Picasso or Circo (Beverages, Beverage Tax & Beverage Gratuity Not Included)
(excluding December 29th - January 1st)

$1,200.00
(Including tax)

There is phenominal dining all over the Strip area. The Eiffel Tower restaurant at the Paris (with views of the Bellagio fountains) would be a good place to try.

I agree with Billbored...the restaurant at the top of the Eiffel Tower at Paris would be great, since it overlooks the Bellagio fountains. I love Paris LV...that's where I got married last year. :-) Good luck!

How about this. Go out to one of the many nice restaurants on the strip, and at the end have them bring her a "dessert" with "Will You Marry Me" written around the edges of the plate, and the ring box in the middle. Or take a helicopter ride to the Grand Canyon and propose while in the air.

Try the Top of the World restaurant at the very top of the Stratosphere. Romantic atmosphere, wonderful service, great food.

I recommend the Stratesphere Hotel restaurant at the top of the tower. Great food and great view.
