When it pops up is the folder empty? If it is you must delete it and it will not return.
If not empty, go to run - type msconfig in the box - click OK - click on the start up tab (the last tab on the right) - check to see if the system32 folder is listed and has a check in the box beside it, if checked - uncheck it. If this does not work, add more detail to your question and I will advise you further with an addition to this answer. Good Luck!!
As the other user said, system32 folder is an important folder, but the folder name may have been duplicated and the one popping up is empty.

I have the same prob. the only think you can do is close the window that opens, the files that are missing Will only come back if you reinstall windows, the files missing were erased by you , provably trying to get rid of a virus or something don't worry about it, just close it .

your not suppouse to, system32 files are not to be messed with if you are so ignorant. Thats the core, the kernel of your system, and touching and messing anything in there could and probably will mess up your OS.

It looks like you will have to change something in your registry in order to get the file from popping up.
