The best state is Delaware and you don't have to reside there, just pay an agent (approx $100/year). They have the best laws for protecting the business.
Be sure and do your research on whether or not you want and LLC or actual INC.
Sorry forgot part of your question...it costs about $500 to set up the business and you can do this via the internet.
