請問unsolicited bid等兩個單字的解釋？

Question

請問在企業併購中，所謂「unsolicited bid」的意思究竟是主併公司怎樣的出價？
另外，有solicited bid嗎？

第二個問題，請問「severance obligation」的意思，似乎和pension的規定有關，但是查了很多字典都查不到確切的意思@@

稍微解釋即可，用字不用太講究也沒關係，英文的解釋也可以！

Please read the following article first:http://www.bnext.com.tw/mag/2000_03/2000_03_530.html敵意收購（Hostile Takeover）／不請自來的收購（Unsolicited Bid）企業在談合併時，會出現「落花有意，流水無情」的情形，因此，買方會有「搶新娘」的舉動，開價吸引股東同意，或者在公開市場上大規模收集股票或委託書（Proxy），稱為「敵意收購」。Severance obligation is the company's obligation (what they owe) to their former employee (a sum of money usually based on length of employment for which an employee is eligible upon termination).  Usually this must be taken account for accounting purposes.  Usually your severance pay is pay in the form of bonus (or wages).  It does not distribute like pension retirement.
