If we are talking about the comic book characters, then it would depend on whether Batman has the chance to prepare for the battle. If so, then it wouldn't even be a close contest: Batman would win. Batman fights dirty and fights to win.
If it is a movie, Spiderman would have the upper hand.

I am going to have to go with batman for the simple fact that they both have their strengths and weaknesses but the difference between the two of them that I see in both the cartoons and the movies is that batman is a man Spiderman is just a young man and not as experianced as Batman is

How?
Spidey would be sliding delicately down from a street lamp. The Batmobile rushing into battle in the distance. Batman would gun the accelerator. He'd turn Spidey into a bug blat on the windshield of the Batmobile. He'd then turn on the windshield wipers to spread the remains around and make a smear on its surface.
Sorry for the gortesque nature of this response. But this is how I feel about it.

Spiderman would win because he has real superhuman abilities. He has greater than human strength, quickness and his spider sense.
Batman is a "normal" human -- his strength, quickness etc are what would be possible for a human being who works out strenuously every day, but not superhuman.
That said, I hope they wouldn't fight, because I like them both!

It is really hard to tell. They both fight a good fight. I say Spider-Man? But why would they ever fight each other? Aren't they both against evil?!

Spiderman hands down.
Spider sense is definitely an advantage in combat because you can sense your enemy before he attacks. Batman's ok but sorry, spidey's gonna win this.

Batman could easily outsmart Spidey. What Spidey has in powers, he lacks in tactics. Heck, one JLA storyline even had him taking out the JLA.
